To the Attention of the Public and All Our Resellers

As Carex Bitkisel Ürünler ve Kozmetik San. Tic. A.Ş., Farma Plus İlaç Bant Sağ. ve Kozm. Ürün. San. Tic. Ltd. Şti., and Digital Farma İlaç Sanayi ve Ticaret Ltd. Şti. (collectively referred to as the “Supplier”), we would like to announce that we have updated our sales and distribution policies in line with modern competition law principles and the principles of transparency.

The following matters regarding the commercial relationship between our company and our resellers are hereby communicated to all stakeholders:

• All resellers distributing our products are entirely free to offer and sell the products covered by their agreements through any online platform, including their own websites and online marketplaces.
• Any provisions contained in previous agreements imposing absolute territorial or customer restrictions are deemed null and void. Within the scope of the exclusivity arrangements granted to our resellers, the territories assigned to each reseller remain exclusive, and active sales outside such territories are prohibited. However, passive sales, including internet sales conducted by the reseller, shall not be restricted.
• There is no legal or commercial obstacle preventing our “Traditional Channel” sales points (such as local markets, perfumeries, pharmacies, etc.) from fulfilling any passive product requests received from customers within the “National Channel” (chain stores) that are directly serviced by our company.
• Any provisions in current or previous agreements restricting a reseller to selling products “only” through e-commerce channels, as well as any exclusivity clauses stating that a reseller is the “sole authorized seller” on digital platforms and thereby preventing passive sales by other authorized resellers, are hereby rendered null and void.
• The Company undertakes that no direct or indirect commercial sanctions shall be imposed on any reseller for carrying out passive online sales or fulfilling passive product requests originating from outside their designated territory. Such sanctions include, but are not limited to, termination of agreements, cancellation of discounts, or suspension of product supply.

This announcement is published to ensure that all participants within our distribution network are able to exercise their commercial independence under the protection of competition law.

Definitions

For the purposes of this announcement:

• “Active Sales” refer to sales made by an undertaking to individual customers located within another buyer’s exclusive territory or exclusive customer group through direct marketing methods such as letters, e-mails, telephone calls, or customer visits.
• “Passive Sales” refer to sales made in response to unsolicited requests from customers located within another buyer’s territory or customer group, where such requests are not the result of any active sales efforts undertaken by the reseller.
